Note: This is a legally binding agreement between you and Dialogue Key.
Dialogue Key is an international club for invited members to meet, share interests and memorable experiences and travel with one another and with entertainment professionals.
Our mission is to connect our members around the world by creating dialogue with one another. We aim to ensure each dialogue helps our members achieve the goals and ambitions for a richer, more productive and successful life. Our services online and in-person are designed to promote personal, professional and mental well being for our members by providing a secure, verified environment to meet and engage with other professionals and thereby exchange ideas, learn, and find personal and professional opportunities in a safe network of likeminded people.
By using our Services you agree to all of the legal terms specified herein and you also agree to the terms of our Privacy Policy, which explains how we collect, use, share, and store your personal data.
By clicking “Apply Now”, “Sign Up” or similar, registering, accessing or making use of our services (including, but not limited to any of our mobile apps, developer platforms, premium services, or any content or information delivered as part of these services, collectively referred to as the “Services”, you are entering into a legal agreement (this is true even if you are using our Services on behalf of a company at which you work or represent). Your agreement is with Dialogue Key, Inc. California, USA.
This “Agreement” includes the User Agreement described on this page as well as the Privacy Policy, in addition to any other terms that may be shown when you first use particular features (such as setting up a “Group,” downloading any of our software applications or any Services that require payment. These terms may be changed by Dialogue Key as necessary. If you do not agree to this Agreement, do NOT apply for membership and do not make use of any of our Services. Registered users of our Services are referred to as “Members” and unregistered users are referred to as “Visitors”, and this Agreement covers both user types.
Here are some of the key promises you pledge to make to us in this Agreement: You are eligible to enter into this Agreement, and you are at least of “Minimum Age” as specified herein.
To make use of our Services, you agree that: (a) you are at least of the “Minimum Age” (as specified below); (2) you will only apply for an hold one Dialogue Key account, and that this account must be held in your real name; and (3) you are not prevented by Dialogue Key from using any of the Services we offer.
“Minimum Age” means (a) 18 years old for all members worldwide. However, if the prevailing law in your country of residence requires you to be older in order for to lawfully accept and make use of our Services (including, but not limited to the collection, storage and use of your personal data) then the Minimum Age is the age specified by your country of residence.
Keep your password confidential. Do not share your account access credentials with anyone else, and do follow the rules.
Your Dialogue Key account belongs to you. But we require you to agree to: (1) choose a strong and secure password; (2) keep your password safe, private and confidential; (3) not to transfer your account to anyone else and (4) follow the rules laid out in this Agreement. You are responsible for your account and all use of it unless you close it or report misuse.
Note: Executive, Elite and Sovereign memberships include access to purchase services provided by other parties. In the event that these types of member purchase any of these services then the providing party of such services controls the account through which these services are provided, and may terminate the provision of these services at any time.
If you purchase any of our paid Services, you hereby agree to pay all applicable fees and taxes as required by law. Failure to do so may result in the closure of your account. Furthermore:
You can get a copy of your annual membership invoice by requesting one through Customer Support.
You agree that Dialogue Key may send notifications and messages to you in any of the following ways: (1) a banner notice, or (2) an email sent to the email address you provided upon registration, or (3) through your mobile number or telephone number or via traditional mail. You are required to ensure that your contact information is kept up to date.
You'll honor your payment obligations and you are okay with us storing your payment information. Also, there may be fees and taxes that are added to our prices. Refunds are not guaranteed.
Our Services permit messaging and the sharing of information in a variety of ways, including via your profile, postings, and blog entries. Any content you may share or post may be viewed by other Members.
Where we have provided the options for you to determine who views your content, Dialogue Key respect these choices. Please note that other activities, such as sending an invitation to connect, are by default private, and this only visible to the recipient.
We may use our websites, mobile apps, and email to update you with important announcements. You agree that some additional information can be shared with us. If the contact information provides isn't kept up to date, you may miss out on these updates. When you share content, others may be able to see, copy and make use of that information.
You own or are entitled to share the content, feedback, and personal data you submit on Dialogue Key, and at the same time you grant us a non-exclusive license to use it on Dialogue Key properties. We'll remember the choices you make about who can see the content you post.
You own the content and data that you submit to Dialogue Key and grant us a non-exclusive license to use it, thus: A global and transferable right to use, copy, amend, distribute and publish the information and content you submit via our Services. However, these rights are limited as follows:
You agree that Dialogue Key may retrieve, save and make use any content you provide in accordance with the terms laid out in our Privacy Policy and your own privacy settings within your account.
You will only submit content or data that is in accordance with prevailing legislation and which does not infringe upon anyone's rights, and ensure that your membership profile is accurate and truthful. Dialogue Key may be requested to remove certain types of content in particular countries, so please be aware of this.
We may amend or terminate any of our Services. We do not promise to save or retain any information and content you've posted.
Dialogue Key may amend, temporarily suspend or terminate any Service it provides, or modify its prices at its own our discretion. To the extent permitted under prevailing laws, these changes may take effect as soon as notice has been made to you of these changes.
Dialogue Key is not a data storage provider. Therefore, you agree that we are under no obligation to save, maintain or supply copies of any content or data provided to us, except to the extent necessitated by any applicable laws.
When you see or use others' content and information posted on our Services, it's at your own risk. Third parties may offer their own products and services through Dialogue Key, but be aware that we are not responsible for any such third-party activities. We have the right to limit how you connect and interact on our Services. We're providing you notice about our intellectual property rights.
As a member, you may find some content to be inaccurate, incomplete, illegal or offensive. However, Dialogue Key does not review content submitted by our Members. Likewise, you agree that Dialogue Key is not accountable for any third party content. Nor are we liable for any damages which may arise as result of your use of the same.
You decide if you want to access or use third-party apps or websites that are linked to from Dialogue Key. If you authorize such an app or website to connect with your Dialogue Key account, please be aware that the app or website concerned may be able to access information related to you and your network. Note, that third-party apps and websites operate under their own terms and conditions as well as privacy policies. Except to the extent required by law, Dialogue Key is not responsible for these third-party apps or websites.
Dialogue Key reserves the right to restrict your access to or use of the Services it provides. This includes the number of other members in your network and also limit your ability to contact other Members. Dialogue Key reserves the right to limit, temporarily suspend or close your account with us if we believe you to be in breach of the terms of this Agreement, prevailing law or are misusing our Services.
Dialogue Key also reserves its full intellectual property rights in regards to the Services it provides. This may include, but not be limited to, Dialogue Key logos, other Dialogue Key trademarks and graphics or registered trademarks of Dialogue Key.
Our disclaimer of liability for the quality, accuracy and security of our Services.
TO THE EXTENT PERMITTED BY LAW, DIALOGUE KEY (AND THOSE WITH WHOM DIALOGUE KEY WORKS TO PROVIDE ITS SERVICES) (I) HEREBY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS; (II) DOES NOT GUARANTEE ITS SERVICES WILL FUNCTION WITHOUT ANY INTERRUPTION OR WITHOUT ERROR, AND (III) PROVIDES ITS SERVICES ON AN “AS IS” OR “AS AVAILABLE” BASIS.
SOME LAWS DO NOT PERMIT CERTAIN TYPES OF DISCLAIMERS. THEREFORE SOME, OR ALL OF THESE DISCLAIMERS HEREIN MAY NOT DIRECTLY APPLY TO EVERY MEMBER.
To the extent permitted under law (and unless dialogue key has entered into a separate written agreement that succeeds this one), dialogue key (and those with whom dialogue key works to provide its services) shall not held be liable to you or any other party for any damages, be they indirect, incidental, consequential or punitive. Similarly, dialogue key will not be liable for any loss of data, reputation, profits, opportunities or revenues, in connection with its services.
Under no circumstance shall dialogue key’s liability (and those with whom dialogue key works to provide its services) exceed an amount (i) three times the most recent annual fee paid for a premium membership or (ii) usd 1,000, or whichever is the lowest.
This statement of liability forms the basis of the agreement between you and dialogue key and applyies to all and any claims of liability, even if dialogue key has been infomred of the possibility of any such damages being disputed.
Certain laws do not permit the liability to be limited or exclusions to such liability to pertain. In these cases, such limits as are specified herein may not apply.
This outlines the limits of our liability towards you.
Both Dialogue Key and you can choose to end this Agreement anytime we wish.
As a member, you or Dialogue Key may decide to terminate this Agreement at any time with notice period required from either party. On closure or termination of an account, members lose all rights to access or make use of our Services. The following rules however survive account termination/closure:
Any monetary amounts that are owed by either party to the other prior to termination remain owed to the relevant party upon termination.
If Dialogue Key and you end up in a formal dispute, the process for managing/resolving this dispute will take place in the law courts of the State of California, under any and all applicable California law.
You hereby consent that the laws of the State of California, USA, are to govern any dispute between us as they relate to this Agreement and/or the provision of our Services. Both parties hereby agree that any claims made by one against the other can only be resolved by the courts of California, USA, and further, each party consents to the jurisdiction of such courts.
Here are some important details about how to read the Agreement.
You hereby consent that the laws of the State of California, USA, are to govern any dispute between us as they relate to this Agreement and/or the provision of our Services. Both parties hereby agree that any claims made by one against the other can only be resolved by the courts of California, USA, and further, each party consents to the jurisdiction of such courts.
If a court with the stated authority over the interpretation of this Agreement finds any part of such Agreement to be unenforceable, Dialogue Key and you agree that the court itself should amend any such terms as it deems appropriate in order to make that part of the Agreement enforceable by law, while remaining loyal to the original intent. If the court is not in a position to undertake such a role, you and Dialogue Key agree to request of the court that they remove any unenforceable part of the Agreement while enforcing the rest of it. To the extent permitted by US law, the English-language version of this Agreement is to be considered binding and other translations are provided for convenience purposes only. This Agreement (including such subsequent terms provided by Dialogue Key) is the only binding and accepted agreement between the two parties as far as it covers our Services.
If Dialogue Key doesn’t react to any breach of this Agreement, this should not be construed as a waiver by Dialogue Key of its right to enforce it. As a member, you are not permitted to assign or transfer this Agreement (this includes your membership and use of our Services) to any other party without the express written consent of Dialogue Key. However, you consent that Dialogue Key may assign all or part of this Agreement to an affiliated party or to a party that purchases it without your express consent.
Dialogue Key reserves the right to amend any such terms of this Agreement as it deems appropriate to do, and will notify you if we do amend such terms, and we confirm hereby that any such changes cannot be retroactive in nature. If you disagree with any such changes we make, you are to stop using our Services immediately.
You agree to provide us with any such legal action as you decide to pursue is at our physical address as stated below in Section 10.
Dialogue Key respects the intellectual property rights of all other parties. We expect and require that any information posted by Members to be accurate, correct and to not violate the intellectual property rights or any other rights of any third parties whether named or unnamed.
If you wish to raise a complaint as it relates to content posted by any one of our Members, please do so in writing and send it to the address sated below under point 10.
